B2B PARTNER HUB – TERMS & CONDITIONS
- DEFINITIONS
For the purpose of these Terms & Conditions:
- “KBA DMC” refers to KBA DMC Indonesia, acting as Destination Management Company.
- “Partner” / “Agent” refers to any registered B2B user granted access to the Platform.
- “Platform” refers to the KBA DMC B2B Partner Hub system.
- “Services” include accommodation, transfers, tours, and other travel-related products.
- “Net Rates” refer to confidential, non-commissionable rates provided by KBA DMC.
- ACCEPTANCE OF TERMS
By accessing or using the Platform, the Partner irrevocably agrees to be legally bound by these Terms & Conditions.
- ACCOUNT REGISTRATION & ACCESS
- KBA DMC reserves full discretion to approve, reject, suspend, or terminate any registration without prior notice.
- The Partner is responsible for maintaining the confidentiality of login credentials.
- All activities under the account are deemed the responsibility of the Partner.
- SCOPE OF SERVICES
KBA DMC provides access to travel Services subject to:
- Availability
- Supplier confirmation
- Operational conditions
No booking shall be deemed confirmed until written confirmation is issued.
- CONFIDENTIALITY & DATA PROTECTION
- All rates, content, and data are strictly confidential.
- The Partner shall not disclose, reproduce, or distribute any information obtained from the Platform.
- This obligation survives termination.
- RATES, MARK-UP & COMMERCIAL POLICY
- All Net Rates are confidential and strictly for B2B use.
- The Partner must:
- Apply its own mark-up
- Sell under its own branding
The Partner is strictly prohibited from:
- Selling at or near net rates
- Exposing or publishing net rates
- Undercutting pricing in a way that damages KBA DMC
KBA DMC reserves the right to audit pricing practices.
- PACKAGING & RESALE OBLIGATION (MANDATORY)
- All Services must be resold strictly as part of a bundled travel package.
- The Partner is prohibited from selling:
- Hotel-only
- Transfer-only
- Activity-only
- Any itemized components
The Partner must:
- Combine Services into a value-added package
- Maintain brand positioning and pricing integrity
Any violation constitutes a material breach.
- NON-CIRCUMVENTION & NON-DIRECT CONTRACTING
The Partner agrees not to:
- Contact, negotiate, or contract directly with any supplier introduced by KBA DMC
- Bypass KBA DMC for commercial advantage
This obligation applies:
- During the partnership
- For 24 months after termination
- BOOKINGS, AMENDMENTS & CANCELLATIONS
- All bookings are subject to availability and confirmation.
- Amendments and cancellations must follow applicable policies.
- The Partner is responsible for informing clients of all conditions.
- PAYMENT TERMS & CREDIT FACILITY
- Payment terms follow the commercial agreement.
- KBA DMC may:
- Require prepayment
- Set credit limits
- Suspend services for overdue balances
All outstanding amounts remain payable.
- LIABILITY & LIMITATION OF LIABILITY
- KBA DMC acts as an intermediary.
- KBA DMC is not liable for supplier failures or disruptions.
- Liability, if any, is limited to the amount paid for the Service.
- FORCE MAJEURE
KBA DMC shall not be liable for failure due to events beyond control, including:
- Natural disasters
- Government actions
- Pandemics
- Transport disruptions
- MONITORING & COMPLIANCE
KBA DMC reserves the right to:
- Monitor system usage
- Audit bookings and pricing
- Investigate misuse
- TERMINATION
KBA DMC may suspend or terminate access:
- Immediately upon breach
- Without prior notice if necessary
All obligations (including confidentiality and non-circumvention) survive termination.
- PENALTY & LIQUIDATED DAMAGES
15.1 Material Breach
Includes but is not limited to:
- Violation of Packaging Policy
- Breach of Confidentiality
- Circumvention of KBA DMC
- Rate exposure or misuse
15.2 Liquidated Damages
The Partner agrees to pay:
- EUR 10,000 (Ten Thousand Euros) per violation
- Or equivalent in IDR
This represents a genuine pre-estimate of loss.
15.3 Additional Compensation
KBA DMC reserves the right to claim:
- Additional damages
- Loss of profit
- Legal and enforcement costs
15.4 Immediate Enforcement
KBA DMC may:
- Suspend account
- Cancel bookings
- Offset outstanding balances
15.5 Survival
This clause remains valid after termination.
- GOVERNING LAW & JURISDICTION
This Agreement is governed by the laws of the Republic of Indonesia.
All disputes shall be subject to Indonesian jurisdiction.
- AMENDMENTS
KBA DMC may amend these Terms at any time. Continued use constitutes acceptance.
- ENTIRE AGREEMENT
These Terms represent the entire agreement and supersede all prior understandings.
ACKNOWLEDGEMENT & ACCEPTANCE
By registering and using the Platform, the Partner:
- Confirms understanding of all Terms
- Agrees to be legally bound
- Accepts enforcement of all provisions
